1. The Services

GoldenWay provides tools that help home buyers search for, compare and evaluate residential properties, including property matching, scores, reports, cost estimates, market information, community features and an artificial intelligence assistant.

2. Not a Broker, Lender or Advisor

GoldenWay is not a real estate broker or sales agent, mortgage lender or loan originator, appraiser, home inspector, attorney, or financial, tax or investment advisor, and does not represent you in any real estate transaction. Nothing in the Services is an appraisal, a home inspection, a guarantee of a property’s condition or value, or legal, financial, tax or investment advice.

Property scores, ratings, cost estimates and reports are opinions generated by automated models from information obtained from third-party data providers and public records. That information may be incomplete, out of date or inaccurate, and listings may change or be withdrawn at any time. You are solely responsible for independently verifying any information before relying on it. We encourage you to obtain a professional inspection, an appraisal, and appropriate legal and financial advice before making any purchase decision.

3. Eligibility and Accounts

• You must be at least 18 years old and located in the United States to use the Services.
• You must provide accurate and complete information, including a telephone number you are authorized to use, and keep it up to date.
• You may hold only one account. Accounts are personal and may not be shared, sold or transferred.
• You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly if you believe your account has been accessed without your permission.

4. Plans, Purchases and Payment

• Plans and purchases. We offer a free plan, paid plans, and one-time purchases such as individual property reports and additional searches. The price and what each plan or purchase includes are shown in the Services at the time of purchase.
• Payment. Payments are processed by Stripe, Inc. By making a purchase, you authorize us and our payment processor to charge your payment method for the amounts shown, plus any applicable taxes.
• Renewal. Monthly plans are billed in advance and renew automatically at the end of each billing period until you cancel. Prepaid multi-month passes are billed once and do not renew automatically.
• Cancellation. You may cancel a paid plan at any time from your account. Cancellation takes effect at the end of the current billing period, and you keep the benefits of your plan until then.
• Allowances. Searches, reports and other allowances included with a plan are provided for each monthly period, reset at the start of the next period, and do not roll over. If a search cannot be completed, or finds no homes, it does not count against your allowance, and any search credit used for it is returned to your account.
• Unlocked reports. A property report you unlock, whether by purchase, by credit or with a free report included in your plan, remains available to you for the life of your account.
• Price changes. We may change our prices. A price change will not apply to a period you have already paid for, and we will notify you before a new price applies to a renewal.

5. Refunds

Except as stated in these Terms or required by law, all fees are non-refundable. Because a property report is delivered as soon as it is unlocked, reports are not refundable once unlocked. We do not provide refunds or credits for partial billing periods. If you believe you have been charged in error, contact us at the address below.

6. Agent and Broker Referrals

If you ask us to connect you with a real estate agent or broker, we will share your information with them as described in our Privacy Policy, and we may receive a fee or other compensation for the referral. Agents and brokers are independent of GoldenWay. We do not supervise or guarantee their services, and any agreement you make with an agent or broker is solely between you and them.

7. Artificial Intelligence Features

Some features, including our AI assistant and generated summaries, use artificial intelligence. AI-generated content may be inaccurate or incomplete and should not be relied on as a statement of fact without independent verification.

8. Your Content

You may post stories, comments and other content in our community features (“User Content”). User Content may be visible to other users and to the public. You retain ownership of your User Content. You grant GoldenWay a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, distribute, adapt for formatting, and otherwise use your User Content in connection with operating, improving and promoting the Services.

You represent that you have the rights needed to post your User Content and to grant this license. We may remove or restrict any User Content at our discretion. If you believe content on the Services infringes your copyright, contact us at the address below.

9. Acceptable Use

You agree not to:

• use the Services in violation of any law, including fair housing laws, or to discriminate against any person on the basis of a protected characteristic;
• scrape, crawl, copy, resell or redistribute property data, scores or reports, except as permitted in these Terms;
• circumvent any usage limit, paywall, security measure or access control, or create more than one account to obtain additional free allowances;
• reverse engineer, decompile or attempt to extract the source code or models of the Services, or use the Services to build a competing product;
• interfere with or disrupt the Services, or upload viruses or other harmful code;
• impersonate any person, or misrepresent your identity or affiliation; or
• post content that is unlawful, harassing, defamatory, infringing, or invasive of another person’s privacy.

10. Intellectual Property

The Services, including their software, scoring models, reports, text, graphics and design, and the GoldenWay name and logo, are owned by GoldenWay or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable license to use the Services for your own home search.

You may print property reports and share them with your household, and with your own agent, lender, attorney or advisors, in connection with your own purchase decision. Any other commercial use requires our written permission. If you send us feedback or suggestions, we may use them without obligation to you.

11. Third-Party Services and Data

The Services rely on and may link to data, maps and services provided by third parties. We do not control and are not responsible for third-party content or services, and your use of them may be subject to their own terms.

12. Changes to the Services

We may add, change, suspend or discontinue any part of the Services at any time. Some features may be offered as beta or preview features and may not work as expected.

13. Suspension and Termination

We may suspend or terminate your access to the Services if you violate these Terms, if required by law, or to protect the Services or other users. You may stop using the Services at any time and may request deletion of your account as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including those concerning fees owed, User Content, intellectual property, disclaimers, limitation of liability, indemnification and governing law.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PROPERTY INFORMATION, SCORE, ESTIMATE OR REPORT IS ACCURATE, COMPLETE OR CURRENT.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GOLDENWAY AND ITS OWNERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR OPPORTUNITY, OR ANY LOSS ARISING FROM A PROPERTY PURCHASE OR DECISION, ARISING OUT OF OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

16. Indemnification

You agree to indemnify and hold harmless GoldenWay and its owners, officers, employees and agents from any claims, losses, liabilities and expenses, including reasonable attorneys’ fees, arising out of your User Content, your misuse of the Services, or your violation of these Terms or of any law or third-party right.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days. Any dispute arising out of or relating to these Terms or the Services that is not resolved informally will be brought exclusively in the state or federal courts located in the State of Texas, and you and GoldenWay consent to the personal jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. If we make material changes, we will notify you by email or through the Services before the changes take effect. Your continued use of the Services after the changes take effect means you accept the updated Terms.

19. General

These Terms, together with our Privacy Policy, are the entire agreement between you and GoldenWay regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, agency or employment relationship between you and GoldenWay.
